Terms for using ToolBuddy AI.

These Terms & Conditions govern your access to and use of the ToolBuddy AI website, chat interface, file-processing features, account features, and any related services made available by us. By accessing or using ToolBuddy, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you must not access or use the Service.

In these Terms, "ToolBuddy," "we," "us," and "our" refer to ToolBuddy AI and its operating entity. "Service" means the ToolBuddy website, chat interface, file operations, account features, and related functionality. "User," "you," and "your" refer to the person or organisation accessing the Service. "Output" means the file, result, or response generated after a requested operation.

ToolBuddy is an AI-assisted file-work platform. You may upload or reference a file, describe the outcome you want in natural language, and receive assistance with supported operations such as image conversion, image compression, images-to-PDF conversion, PDF-to-image conversion, and document conversion.

The Service is designed to assist with routine file work. It does not replace your responsibility to inspect, verify, approve, store, submit, or otherwise use the resulting file appropriately.

Capabilities, supported formats, processing limits, and availability may change as the product develops. Features marked as planned or coming soon are not available unless they have been activated in the product.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using ToolBuddy, you represent that you meet this requirement.

If you use the Service on behalf of a company, institution, or other organisation, you represent that you have authority to accept these Terms on its behalf. The organisation will be responsible for use of the Service by its authorised users.

Some features may require an account. You agree to provide information that is accurate, current, and complete, and to update it when necessary.

You are responsible for keeping account credentials confidential and for activity carried out through your account. Notify us promptly if you believe that your account has been accessed without permission.

We may limit, suspend, or require verification of access where reasonably necessary to protect users, the Service, or our systems.

You retain your rights in files and other content that you upload or provide to ToolBuddy. You grant us the limited permission needed to host, transmit, analyse, process, and return that content solely to provide, secure, troubleshoot, and improve the requested Service.

You must only upload or process files that you own or are legally authorised to use. You are responsible for obtaining any required permissions from copyright owners, data subjects, employers, clients, or other relevant parties.

You should keep your own copy of important files. Unless a feature expressly states otherwise, ToolBuddy is not a permanent backup or records-management service.

You must use the Service lawfully, responsibly, and in accordance with these Terms. You must not use ToolBuddy to infringe another person’s rights, violate applicable law, or create risk of harm.

• Upload malware, malicious code, corrupted files, or content intended to disrupt the Service.
• Attempt to gain unauthorised access to accounts, systems, networks, or data.
• Reverse-engineer, decompile, scrape, copy, or interfere with the Service except where applicable law expressly permits it.
• Use automated methods to overload, probe, or abuse the Service or its infrastructure.
• Process content that is unlawful, fraudulent, deceptive, abusive, or harmful.
• Use an output in a way that violates law, regulation, contract, or the rights of another person.

ToolBuddy may use automated and AI-assisted systems to interpret requests and perform supported file operations. Automated processing can produce errors, omissions, formatting changes, or results that do not match your intended outcome.

You are responsible for reviewing every output before relying on it. For important, legal, financial, academic, medical, employment, regulatory, or business use, you should carry out appropriate human review and use an independent source or professional where necessary.

ToolBuddy does not guarantee that an output will be complete, accurate, error-free, compatible with a particular application, or suitable for a particular purpose.

ToolBuddy may offer Free, Pro, Enterprise, or other access arrangements. The features and limits for each arrangement may be described on the Services page or in an applicable order, proposal, or agreement.

A plan or feature labelled as coming soon, planned, waitlisted, or unavailable is not an active offer for purchase. We may change, suspend, or discontinue a feature, plan, format, or workflow as the Service evolves.

Enterprise arrangements may be subject to additional written terms agreed between the organisation and ToolBuddy. If those terms conflict with these Terms, the written enterprise agreement will apply to the extent of the conflict.

If paid services become available, the checkout experience or applicable order will identify the amount payable, payment method, taxes where applicable, and any material billing conditions before you confirm the purchase.

You authorise the designated payment provider to process a valid payment method for amounts that you have agreed to pay. Payment processing may be subject to the payment provider’s own terms and privacy practices.

You are responsible for providing accurate billing information and paying applicable taxes or charges associated with your use of paid services, except taxes imposed on our income.

The Service, including its software, interface, design, branding, text, logos, workflows, and underlying technology, is owned by or licensed to ToolBuddy and is protected by applicable intellectual-property laws.

Except for the limited right to use the Service under these Terms, no ownership or licence is transferred to you. You must not use ToolBuddy branding or content without our prior written permission.

Subject to your rights in your own content, we may use aggregated or de-identified operational information to maintain, analyse, secure, and improve the Service. We will not use this clause to take ownership of your uploaded files.

The Service may rely on third-party providers for hosting, authentication, storage, communications, analytics, payment processing, file processing, or other infrastructure. Third-party services may have their own terms and policies.

We are not responsible for the independent acts, omissions, availability, or policies of a third-party service. We will take reasonable steps to select and manage providers appropriate to the Service, but no third-party dependency can be guaranteed to operate without interruption.

Our Privacy Policy explains how we collect, use, retain, and protect personal information in connection with the Service. By using ToolBuddy, you acknowledge that information may be handled as described in that policy.

We use reasonable administrative, technical, and organisational measures intended to protect the Service and information processed through it. No internet-connected system can guarantee absolute security, and you should avoid uploading highly sensitive information unless the use is appropriate for your needs.

We aim to keep ToolBuddy available and useful, but we do not promise uninterrupted, timely, secure, or error-free operation. Availability may be affected by maintenance, updates, technical failures, network conditions, provider outages, or events outside our reasonable control.

We may perform scheduled or emergency maintenance and may modify the Service to improve performance, security, compliance, or functionality. We may provide notice where reasonably practical.

To the maximum extent permitted by applicable law, the Service and all outputs are provided on an "as available" and "as is" basis. We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

Nothing in these Terms excludes or limits a right, warranty, remedy, or liability that cannot lawfully be excluded or limited under applicable law.

To the maximum extent permitted by applicable law, ToolBuddy and its operating entity will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings arising from or related to the Service.

To the maximum extent permitted by applicable law, our total liability for claims arising from the Service will be limited to the amount you paid to ToolBuddy for the relevant Service during the twelve months before the event giving rise to the claim, or INR 1,000 if you have not paid for a Service.

These limits apply to the fullest extent permitted by law and do not limit liability that cannot legally be limited.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ToolBuddy, its operating entity, personnel, and service providers from claims, losses, liabilities, costs, and expenses arising from your unlawful use of the Service, your breach of these Terms, your uploaded content, or your infringement of another person’s rights.

We may assume control of the defence of a claim for which you are required to indemnify us. You agree to provide reasonable cooperation. No settlement that imposes an admission or obligation on us may be made without our consent.

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay an amount due, misuse the Service, or if continued operation is no longer commercially or technically practical.

Where appropriate, we will take reasonable steps to provide notice or an opportunity to address the issue. We may act immediately where necessary to prevent harm, fraud, abuse, security incidents, or legal exposure.

Provisions that by their nature should continue after termination, including intellectual property, disclaimers, limitations of liability, indemnity, dispute provisions, and payment obligations, will survive termination.

We may update these Terms to reflect changes to the Service, law, security practices, or business operations. The revised version will be posted on this page with a new Last Updated date.

Where required by applicable law, we will provide additional notice of material changes. Your continued use of the Service after the revised Terms become effective means that you accept them. If you do not agree, stop using the Service.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory rights available to you, disputes relating to the Service or these Terms will be subject to the jurisdiction of the courts in Mumbai, Maharashtra, India.

Before starting formal proceedings, the parties should try in good faith to resolve the issue by contacting the support address below and providing a clear description of the concern and requested resolution.

These Terms, together with the Privacy Policy, Return & Refund Policy, Cancellation Policy, and any applicable written order or enterprise agreement, form the agreement between you and ToolBuddy regarding the Service.

If any provision is found to be invalid or unenforceable, it will be interpreted to the minimum extent necessary and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations as part of a merger, reorganisation, financing, acquisition, or transfer of the relevant business.
